| For security issues not covered under a Registrar and Paying Agent (RPA) agreement, CDS Solutions will provide a confirmation of registered holdings upon request for a fee.
CDS Solutions can only provide a confirmation for the part of the issue that is held in CDS Clearing and Depository Services Inc.'s nominee name (CDS & CO.). The confirmation authenticates the quantity and/or specific details of the security, as well as any payments received by CDS & CO. as the registered holder.
Issuers that require an audit confirmation must request it from their official agent of record. Issuers without an official agent of record may:
- Elect to enter into a RPA agreement with CDS Solutions. Issuers with an RPA agreement are entitled to receive audit confirmations as part of the RPA service
or
- Request a Confirmation of Registered Holdings from CDS Solutions.
